A contract is the language, boundary, and—at the moment of dispute—the sole tangible anchor of a commercial relationship. Each contract reflects the parties' balance of power and risk allocation not only to the immediate transaction but to every future scenario. Our firm's contract practice is structured as a comprehensive advisory discipline that extends far beyond the review of a single document, spanning from the establishment to the termination of commercial relationships.

We assist our clients in the design of framework and ancillary contracts, and in the preparation and negotiation of supply, service, license, SaaS, distribution, and agency agreements. We establish the contractual framework for non-disclosure agreements (NDAs), data processing agreements (DPAs), joint data controller arrangements, partnership and shareholder agreements, and joint venture (JV) structures. Technology and digital economy-specific contract types—platform terms of use, marketplace intermediation agreements, API and SDK usage licenses, cloud service agreements, content creation and influencer collaborations—constitute a substantial portion of our daily practice. We work with our clients in auditing existing contract portfolios, implementing version management systems, and establishing structures for digital lifecycle monitoring.

Our practice concentrates particularly in the technology sector, marketplace operators, fintech and payment ecosystems, and media and digital agency ecosystems. In high-volume procurement processes, supplier panel management, standard contract and data transfer schedule pairings with international suppliers, definition of risk-based negotiation thresholds, and categorization of matters requiring escalation are issues we frequently encounter.

In contract review, we focus not on individual clauses but on the overall risk-benefit balance created by the text for our client. We model concrete scenarios our client may encounter in advance and prioritize them in negotiations. Rather than blindly defending standard templates, we emphasize provisions aligned with our client's business model and operationally implementable terms; we clarify the responsibility map sentence by sentence with the parties before execution. The objective is for the contract to serve as an instrument that supports our client not at the moment of signature but throughout the implementation process.
